These Terms & Conditions ("Agreement") constitute a legally binding agreement between you or the entity you represent ("User" or "Customer") and My Reference Cards, a sole proprietorship ("MyRefCards," "Merchant," "we," "us," or "our"). This Agreement governs your access to and use of the MyRefCards platform, including all templates, reference cards, documentation, and related content (collectively, the "Services" or "Store").

These terms apply to all users, including guests and registered customers, who engage in transactions on this site. If you are accessing the Services on behalf of a business or organization, you represent that you have authority to bind that entity to this Agreement.

Merchant: MyRefCards, LLC, the owner and operator of this Store, responsible for the products and services provided.

Products: Both non-physical and physical items offered by the Merchant, including but not limited to downloadable files, templates, reference cards, software, other electronic content, and tangible goods.

User / Customer: Any individual or entity that accesses or uses this site or makes a purchase.

The Store: The online platform operated by the Merchant at myrefcards.com and any associated subdomains or applications.

Services: All Products, content, tools, and features made available through the Store.

Orders can be placed through our website. Both guest and registered users are welcome to complete purchases. By placing an order, you agree to:

•       Provide accurate, current, and complete information, including payment and shipping details

•       Promptly update any information if changes occur

•       Ensure that any purchase is made by an authorized individual or on behalf of an authorized entity

Completion of an order constitutes your acceptance of these Terms & Conditions and any supplemental terms applicable to a specific Product. We reserve the right to refuse or cancel any order at our discretion.

Payments can be made using the methods displayed on the checkout page. Prices are subject to change without notice; you will be charged the price displayed at the time of checkout. Additional fees, including applicable taxes or shipping charges, may apply and will be indicated during the checkout process.

All prices are stated in U.S. dollars unless otherwise noted. My Reference Cards is not responsible for currency conversion fees or charges imposed by your financial institution.

All purchases, subscriptions, and payments made in connection with the Services are final and non-refundable. MyRefCards does not offer refunds, credits, or exchanges under any circumstances, including but not limited to:

•       Failure to use purchased content or templates during a subscription period

•       Dissatisfaction with content following download or access

•       Changes to the content library following your purchase

•       Errors in your order, duplication of purchases, or accidental purchases

•       Termination of your account for violation of this Agreement

By completing a purchase, you acknowledge that you have reviewed the applicable product descriptions, previews, and documentation and that you accept this no-refund policy as a condition of access. In cases of physical product damage or shipping discrepancies, please contact us promptly via the contact page for resolution on a case-by-case basis.

All Products are sold for use solely by the party that purchases them, whether an individual or a business. Purchasing a Product grants a limited, non-exclusive, non-transferable license to download and use the Product exclusively for the purchasing party’s internal purposes. The following are strictly prohibited without the prior written consent of MyRefCards:

•       Redistribution, resale, or sublicensing of any purchased content

•       Modification or creation of derivative works based on purchased content

•       Sharing access credentials or downloaded files with unauthorized third parties

•       Use of any content for competitive products or services

All content on this site, including text, graphics, logos, templates, and reference cards, is the intellectual property of MyRefCards, LLC or its licensors and is protected by applicable copyright, trademark, and other intellectual property laws. Unauthorized reproduction or distribution of any content is prohibited.

7.1 Quarterly Review Commitment

MyRefCards applies commercially reasonable efforts to ensure that all templates, reference cards, and associated documentation are accurate, current, and fit for their intended purpose. We conduct formal content reviews on at least a quarterly basis and update materials as necessary to reflect changes in applicable standards, technologies, and practices.

7.2 No Warranty of Accuracy

NOTWITHSTANDING THE FOREGOING, MYREFCARDS DOES NOT WARRANT THAT ANY CONTENT IS FREE FROM ERRORS, OMISSIONS, OR INACCURACIES. THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COMPATIBILITY WITH SPECIFIC DEVICES OR SOFTWARE.

7.3 No Substitute for Professional Judgment

The content provided through the Services is intended solely as a convenience reference and starting point. It is not a substitute for professional expertise, independent verification, or qualified advice. Mistakes happen. Users are solely responsible for verifying the accuracy, completeness, and applicability of any template or reference card before relying on it in any professional, legal, regulatory, technical, or operational context. Do not rely on these materials without independent validation.

Without limiting the foregoing, the Services should not be used as a substitute for:

•       Legal, regulatory, or compliance counsel

•       Qualified technical or engineering review

•       Medical or clinical judgment

•       Financial or investment advice

•       Any other professional determination where independent verification is required

While customers are welcome to complete purchases as guests, creating an account provides additional features and convenience, such as order history and faster checkout. Whether or not an account is created, customers are responsible for:

•       Maintaining the confidentiality of their account credentials and purchase information

•       All activity that occurs under their account

•       Notifying MyRefCards promptly of any unauthorized use or security breach

MyRefCards is not liable for any loss or damage arising from your failure to maintain the security of your account credentials.

9.1 Exclusion of Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MYREFCARDS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.2 Liability Cap

IN NO EVENT SHALL MYREFCARDS’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS UNDER THIS AGREEMENT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO MYREFCARDS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages. To the extent such limitations are not permitted under applicable law, the above limitations shall apply to the maximum extent permitted.

10.1 User Indemnification of MyRefCards

You agree to defend, indemnify, and hold harmless MyRefCards, LLC, its members, managers, officers, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Services; (b) your violation of this Agreement; (c) your violation of any applicable law or regulation; (d) any content or data you submit to the Services; or (e) any claim that your use of the Services has caused harm to a third party.

10.2 MyRefCards Indemnification of User

MyRefCards, LLC agrees to defend, indemnify, and hold harmless you and, if applicable, your organization, officers, directors, and employees from and against any and all third-party claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of a claim that the Services, as provided by MyRefCards and used in accordance with this Agreement, infringe any third-party intellectual property right.

10.3 Indemnification Procedure

The party seeking indemnification must: (a) promptly notify the indemnifying party in writing of the claim; (b) grant the indemnifying party sole control of the defense and settlement; and (c) provide reasonable cooperation, at the indemnifying party's expense. The indemnifying party shall not settle any claim in a manner that imposes liability or restrictions on the indemnified party without prior written consent.

11.1 Right to Suspend or Terminate

MyRefCards reserves the right to suspend, limit, or terminate your access to the Services at any time. In the event that we determine, in our reasonable discretion, that you must cease using the Services—whether due to a legal obligation, regulatory requirement, intellectual property concern, security issue, or material breach of this Agreement—we will make commercially reasonable efforts to provide written notice prior to or promptly following such action.

11.2 Notification Methods

Notice may be delivered by any of the following methods:

•       Email to the address associated with your account

•       In-platform notification upon login

•       Written notice to the address on file for your account

It is your responsibility to maintain current and accurate contact information. MyRefCards shall not be liable for failures to receive notice resulting from outdated or incorrect contact information.

11.3 Effect of Termination

Upon termination or suspension, your right to access and use the Services immediately ceases. Sections 5, 6, 7.3, 9, 10, 11.3, and 13 shall survive termination.

MyRefCards reserves the right to update these Terms & Conditions at any time. We will provide notice of material changes by updating the Effective Date above and, where practicable, by notifying you via email or in-platform notice at least thirty (30) days prior to the effective date of such changes. It is the responsibility of the User to review these terms periodically. Your continued use of the Services following notice of changes constitutes your acceptance of the modified Agreement. If you do not agree to the changes, you must discontinue use of the Services.

This Agreement shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law provisions. Any dispute, claim, or controversy arising out of or relating to this Agreement or the Services shall be subject to the exclusive jurisdiction of the state and federal courts located in Michigan. You hereby consent to personal jurisdiction in such courts.

EACH PARTY HEREBY WAIVES ANY RIGHT TO A JURY TRIAL IN CONNECTION WITH ANY ACTION OR LITIGATION ARISING OUT OF OR RELATED TO THIS AGREEMENT.

14.1 Entire Agreement

This Agreement, together with any applicable order forms, subscription agreements, or supplemental terms, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, representations, and understandings.

14.2 Severability

If any provision of this Agreement is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

14.3 Waiver

Failure by either party to enforce any provision of this Agreement shall not constitute a waiver of future enforcement of that or any other provision.

14.4 Assignment

You may not assign this Agreement or any rights hereunder without the prior written consent of MyRefCards. MyRefCards may assign this Agreement without restriction in connection with a merger, acquisition, or sale of substantially all of its assets.

14.5 No Agency

Nothing in this Agreement creates any agency, partnership, joint venture, or employment relationship between the parties.
